Terms of Service

The terms that govern your use of Morasel.

These Terms of Service (the “Terms”) are a legal agreement between Morasel L.L.C. (“Morasel”, “we”, “us”) and the business or person that creates an account or uses our services (“you”). By creating an account or using Morasel, you agree to these Terms.

If you use Morasel on behalf of an organization, you confirm you are authorized to accept these Terms for that organization.

1. The service

Morasel is a software platform that helps businesses manage customer communication, CRM, scheduling, campaigns, automation, analytics, and AI-assisted workflows, with the WhatsApp Business Platform as a primary channel. Features may change, and some capabilities are available to selected pilots or are still in development.

2. Accounts and eligibility

You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account. You must be able to form a binding contract to use Morasel.

3. Acceptable use

Your use of Morasel must comply with our Acceptable Use Policy and with the WhatsApp Business Platform and Meta messaging policies, including consent and opt-in requirements for messaging recipients.

4. Subscriptions and billing

Paid plans are billed in advance in US dollars at the prices shown on our pricing page. Subscription fees are separate from WhatsApp usage charges: WhatsApp Business Platform messaging is billed according to Meta’s official worldwide pricing, based on the recipient’s country and the message category, and those charges are not included in your Morasel subscription.

Unless stated otherwise, fees are non-refundable except where required by law. We may change prices with reasonable notice; changes do not affect the current paid period.

5. Third-party services

Morasel integrates with third-party services, including the WhatsApp Business Platform provided by Meta Platforms, Inc. Your use of those services is subject to their own terms and policies. WhatsApp is a trademark of Meta Platforms, Inc.; Morasel is built for the WhatsApp Business Platform and is not endorsed by or affiliated with Meta Platforms, Inc.

6. Customer data and privacy

Our handling of personal data is described in our Privacy Policy, and, for business customers, our Data Processing Addendum. You are responsible for obtaining any consents required to message your customers.

7. Intellectual property

Morasel and its software, design, and content are owned by Morasel L.L.C. and its licensors. You retain ownership of the content and data you provide. You grant us the limited rights needed to operate and improve the service for you.

8. Disclaimers

The service is provided on an “as is” and “as available” basis without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted or error-free.

9. Limitation of liability

To the maximum extent permitted by law, Morasel will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our aggregate liability for any claim is limited to the amounts you paid to Morasel in the twelve months before the event giving rise to the claim.

10. Indemnification

You agree to defend and indemnify Morasel against claims arising from your content, your use of the service, or your breach of these Terms or applicable law, including messaging and consent laws.

11. Termination

You may stop using the service at any time. We may suspend or terminate access for breach of these Terms or applicable policies. On termination, your right to use the service ends; data handling on termination is described in our Privacy Policy and Data Processing Addendum.

12. Governing law and jurisdiction

These Terms and any dispute arising from or relating to them are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles.

Any legal proceedings arising from these Terms will be brought in the competent state or federal courts located in the State of Wyoming, unless applicable consumer-protection law requires otherwise.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Continued use after changes take effect means you accept the updated Terms.
